1. Acceptance of These Terms
These Terms of Service (the "Terms") govern your access to and use of independentcampaigns.com (the "Site") and any services provided by Independent Campaign Strategies LLC ("ICS," "we," "us," or "our"). By accessing the Site, submitting a form, or purchasing any service, you agree to be bound by these Terms and by our Privacy Policy.
If you do not agree to these Terms, do not use the Site and do not purchase any service from ICS.
2. Services and Important Limitations
ICS provides political consulting, campaign strategy, ballot-access advisory, messaging, and related advisory services to independent, third-party, reform-minded, and other candidates and organizations.
ICS Does Not Provide Legal Services
ICS is not a law firm and does not provide legal services or legal advice. Nothing on the Site, in any communication from ICS, or in any service or deliverable provided by ICS creates an attorney-client relationship. All information, recommendations, and deliverables from ICS are political strategy, campaign consulting, and business advisory services, not legal advice. You should consult qualified legal counsel for any legal question, including campaign finance, election law, ballot access, ethics rules, nonprofit law, or any other legal matter.
No Guarantee of Outcome
ICS does not guarantee electoral outcomes, ballot qualification, fundraising results, press coverage, list growth, ad performance, voter persuasion, endorsement success, or any other campaign result. Past results, case studies, and testimonials do not predict or guarantee future outcomes for any specific campaign.
Larger Engagements and Custom Services
For larger consulting engagements or custom services, ICS may provide a separate proposal, invoice, statement of work, or written agreement. If there is a conflict between these Terms and a signed written agreement for a specific engagement, the signed written agreement controls for that engagement.
3. The Campaign Audit
The Campaign Audit is a paid, intake-based review offered at the price stated on the Site, at checkout, or in a written offer or invoice from ICS. The Campaign Audit includes:
• A focused review of your campaign message, digital presence, campaign structure, and growth opportunities.
• Prioritized next steps and recommendations.
• Delivery within the timeframe stated at the time of purchase.
Nature of the Deliverable
The Campaign Audit is an informational and advisory deliverable based on the information you provide and ICS's experience. It is not legal advice, not a substitute for hands-on campaign management, and not a guarantee of any electoral or campaign outcome.
Payment
Payment for the Campaign Audit is processed at the time of intake form submission. By submitting payment, you authorize ICS and its payment processor to charge the stated amount to the payment method you provide. All prices are in U.S. dollars.
Payment processing is handled by third-party payment processors. ICS does not store full credit card numbers. Your use of any payment processor may be subject to that processor's own terms and privacy policy.
Refund Policy
All Campaign Audit purchases are final and non-refundable. ICS may, at its sole discretion, issue a refund in extraordinary circumstances. No refund will be issued because you disagree with the conclusions, recommendations, or content of the audit deliverable. By submitting payment, you acknowledge that work on your audit may begin immediately upon intake.
4. Acceptable Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit anyone else's use of the Site. You agree not to:
• Use the Site for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorized access to any part of the Site, our systems, or any other user's account or data.
• Use automated tools (including scrapers, bots, or crawlers) to access or harvest data from the Site without ICS's prior written permission.
• Transmit viruses, malware, or other malicious code.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the Site, its operation, or any other user's enjoyment of the Site.
• Provide false, misleading, or inaccurate information in any form submitted through the Site.
5. Intellectual Property
All content on the Site, including text, graphics, logos, marks, images, designs, and software, is the property of ICS or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, modify, distribute, publicly display, or create derivative works from any content on the Site without ICS's prior written permission, except for:
• Personal, non-commercial use of publicly available content.
• Use expressly permitted by these Terms or by applicable law.
Deliverables provided to paying customers, including Campaign Audit memos and other paid work product, are licensed for the customer's internal campaign or organizational use, including use by the customer's authorized campaign team, staff, officers, directors, volunteers, vendors, or consultants engaged on the customer's behalf. Deliverables may not be resold, sublicensed, publicly posted, redistributed outside that operational use, or used to create competing services without ICS's prior written permission.
6. User Submissions
When you submit information to ICS through any form, email, intake, or other channel, you represent and warrant that:
• The information is accurate and lawfully provided.
• You have the right to share the information.
• The information does not infringe any third-party right or violate any law.
You grant ICS a non-exclusive, royalty-free, worldwide license to use the information you submit for purposes of providing services to you, operating our business, improving our offerings, and complying with our legal obligations, consistent with our Privacy Policy.
7. Third-Party Links and Services
The Site may contain links to third-party websites or reference third-party services, products, or platforms. ICS does not control, endorse, or assume responsibility for any third-party content, products, or practices. Your use of any third-party website or service is at your own risk and subject to that third party's terms and policies.
8. Disclaimers
THE SITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
ICS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
ICS MAKES NO REPRESENTATIONS OR GUARANTEES REGARDING ELECTORAL OUTCOMES OR THE RESULTS OF ANY CAMPAIGN. ALL INFORMATION AND RECOMMENDATIONS ARE PROVIDED IN GOOD FAITH BASED ON ICS'S EXPERIENCE AND THE INFORMATION YOU PROVIDE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ICS, ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR ANY SERVICE, EVEN IF ICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ICS'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR ANY SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ICS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless ICS, its officers, members, managers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of the Site or any service.
• Your violation of these Terms.
• Your violation of any law, regulation, or third-party right.
• Any information you submit to ICS.
11. Suspension and Termination
ICS may suspend or terminate your access to the Site or to any service at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 5, 8, 9, 10, 12, 13, and 14) will survive.
12. Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms, the Site, or any service will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
ICS may update these Terms from time to time. The "Effective Date" at the top reflects the most recent revision. Material changes will be communicated through the Site or by email where appropriate. Your continued use of the Site or purchase of any service after the Effective Date constitutes acceptance of the updated Terms.
14. Miscellaneous
Severability
If any provision of these Terms is held by a court of competent jurisdiction to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
No Waiver
ICS's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Entire Agreement
These Terms, together with our Privacy Policy and any written engagement letter, proposal, invoice, or statement of work executed between you and ICS for specific services, constitute the entire agreement between you and ICS regarding your use of the Site and the services offered through it, superseding any prior agreements.
Assignment
You may not assign or transfer these Terms or your rights under these Terms without ICS's prior written consent. ICS may assign these Terms without notice to you.
